These Terms of Service ("Terms") govern your access to and use of the websites, dashboard, and AI sales and marketing automation services (the "Services") provided by Kasbly, Inc. ("Kasbly", "we", "us", or "our"), a company incorporated in Delaware, United States. By creating an account or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you are authorized to bind that organization.
Eligibility
You must be at least 18 years old and able to form a binding contract to use the Services. The Services are intended for business use.
The Services
Kasbly provides AI agents that help businesses create content, capture leads, and hold sales and support conversations across channels such as WhatsApp. Features may be added, changed, or removed as the product evolves.
Beta Services
The Services are currently offered as a beta. They are provided "as is" and "as available" and may contain bugs, errors, or interruptions. We may modify, suspend, or discontinue any part of the Services at any time during the beta without liability. Beta features may be less reliable than generally available features, and we may impose usage limits.
Fees and Future Pricing
During the beta period, the Services are provided free of charge. We expect to introduce paid plans once the Services reach general availability. We will give you advance notice before any fees begin to apply to your account, and you will be free to decline and stop using the paid Services. Free beta access does not entitle you to free or discounted access to any future paid plan.
Accounts and Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information, keep it up to date, and notify us promptly of any unauthorized use of your account.
Acceptable Use
You agree not to: use the Services to send spam or unlawful, harassing, deceptive, or infringing content; violate the terms or policies of any third-party channel (including WhatsApp/Meta messaging policies); message individuals without the consent required by applicable law; attempt to gain unauthorized access to the Services or disrupt their operation; reverse engineer or misuse the Services; or use the Services to build a competing product. We may suspend accounts that violate these rules.
Your Content and Data
You retain all rights to the content and data you submit to the Services ("Your Content"). You grant Kasbly a limited license to host, process, and transmit Your Content solely to provide and improve the Services. You are responsible for Your Content and for ensuring you have the rights and consents necessary to use it with the Services, including consent to contact the individuals you message. Our handling of personal data is described in our Privacy Policy.
AI-Generated Output
The Services use artificial intelligence to generate text and suggestions. AI output may be inaccurate, incomplete, or unsuitable for your purpose, and it does not constitute professional advice. You are responsible for reviewing AI-generated content before relying on or sending it, and for ensuring it complies with applicable law.
Third-Party Services
The Services integrate with third-party platforms such as WhatsApp/Meta and AI model providers. Your use of those platforms is governed by their own terms, and we are not responsible for their availability or actions.
Intellectual Property
The Services, including all software, design, text, and trademarks (excluding Your Content), are owned by Kasbly and protected by intellectual property laws. Except for the rights expressly granted to you, we reserve all rights.
Disclaimers
To the fullest extent permitted by law, the Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free.
Limitation of Liability
To the fullest extent permitted by law, Kasbly and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Services. Our total liability for any claim relating to the Services will not exceed the greater of the amount you paid us in the twelve months before the claim or one hundred U.S. dollars (USD 100). Because the Services are currently free during the beta, this amount may be USD 100.
Indemnification
You agree to indemnify and hold Kasbly harmless from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from Your Content, your use of the Services, or your violation of these Terms or applicable law.
Termination
You may stop using the Services and close your account at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Services. Upon termination, the provisions that by their nature should survive — including ownership, disclaimers, limitation of liability, and indemnification — will survive.
Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. You agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute not subject to arbitration or small-claims resolution, to the extent permitted by law.
Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will update the "last updated" date above and, where appropriate, notify you. Your continued use of the Services after an update means you accept the revised Terms.
